Referral partner terms

Version 2026-11-06 · effective 6 November 2026

These terms apply to the WIRE.AD referral program.

1. Who these terms are between

1.1 These terms are between Wirelab Limited, trading as WIRE.AD, a company registered in Hong Kong (Business Registration No. 81338969), Unit 909, Prosperity Millennia Plaza, 663 King's Road, Quarry Bay, Hong Kong ("WIRE.AD", "we"), and the person or company that joins the WIRE.AD referral program ("you").

1.2 You accept these terms when you tick "I accept the partner terms" in your WIRE.AD account. We record the date, time, IP address and version of the terms you accepted. That record forms the agreement between us; no signature on paper is needed.

1.3 If you accept for a company, you confirm that you are authorised to bind it.

2. What you do

2.1 You introduce companies that may buy WIRE.AD services ("clients"). You do this through your referral link, or by an email or Telegram introduction with WIRE.AD in copy.

2.2 You are not our employee, agent or reseller. You cannot accept orders, quote prices or make promises on our behalf. The program is not exclusive for either side.

3. Your fees

3.1 First order: 10% of the amount the client pays for its first paid order, if that order is paid within 90 days of your introduction.

3.2 Later orders: 1% of every further order the same client pays within 12 months after the first paid order.

3.3 Fees are calculated on the amount the client actually paid us, in USD, excluding taxes, refunds and payment provider charges.

3.4 The client pays our standard published price. Nothing is added to the client's price for your fee.

4. When a fee counts

4.1 A fee becomes payable once the client has paid for the order and received its report.

4.2 No fee is due if: (a) we were already in contact with the company in the 60 days before your introduction (we tell you within one business day); (b) another introduction for the same company reached us first; (c) you refer your own company or a company you control; (d) the order is cancelled or refunded.

4.3 If a client is refunded after we have paid your fee, we deduct that fee from your next fees. We do not ask you to pay it back in cash.

5. How we pay you

5.1 We pay once a month. You request your payout in your WIRE.AD account, and it includes every fee payable at that time. The minimum payout is USD 50; a smaller amount carries over to the next month.

5.2 We pay within 14 days of your request, in USD, by bank transfer to the account you gave in your WIRE.AD account, or by another method we agree with you in writing.

5.3 The bank account must be in your own name: your name if you joined as a person, the company's name if you joined as a company. We do not pay to third parties.

5.4 We pay our own transfer charges. Charges your bank takes to receive the payment, and any currency conversion by your bank, are yours.

5.5 You are responsible for the bank details you give. If a payment fails because of wrong details, we pay again once you correct them. A payment sent to the details you gave is final.

6. Self-billing: we issue your invoices

6.1 You authorise WIRE.AD to issue an invoice in your name for each payout (a "self-billed invoice"), made out to Wirelab Limited, using the name and address you gave in your WIRE.AD account. Each invoice lists the fees it covers.

6.2 You agree that you will not issue your own invoices for the same fees, and that you accept each self-billed invoice as your invoice, unless you tell us within 14 days that it is wrong.

6.3 If you are registered for VAT, GST or a similar tax, or your status changes, tell us before your next payout so the invoice can show it.

7. Identity, sanctions and payment checks

7.1 Our bank and payment provider must know who we pay and why. Before or at any payout, we may ask you for proof of identity, company documents, proof of address, a bank statement or tax information. We may hold a payout until we receive them.

7.2 You confirm that you, your company, its owners and its directors are not on any sanctions list of the United Nations, the United States, the European Union, the United Kingdom or Hong Kong, and are not located in a country or region under comprehensive sanctions. Tell us at once if this changes.

7.3 We may refuse or reverse a payout, or end these terms, where paying you could break sanctions, anti-money-laundering or anti-fraud rules, or where our bank or payment provider refuses the payment. Fees for genuine introductions stay owed and are paid once a lawful way to pay is available.

8. Taxes

8.1 You are responsible for reporting and paying any tax due on your fees. Fees are stated as the full amount; we do not withhold tax unless the law requires us to.

9. How you promote WIRE.AD

9.1 Tell each client you introduce that you receive a fee from WIRE.AD for the introduction.

9.2 Describe WIRE.AD accurately, using our published information. Do not promise specific outlets, results, rankings or prices that we have not published or confirmed to the client.

9.3 Do not send spam, buy ads on the WIRE.AD name, create pages or accounts that look like ours, or present yourself as part of the WIRE.AD team.

10. Your data

10.1 We use your name, contact details, address and bank details to run the program, pay you and meet our legal and banking duties. We pass bank details to our payment provider only to make your payouts. We keep payout records for as long as the law requires. Our privacy policy applies.

11. Changes to these terms

11.1 We may change these terms by email to you at least 30 days before the change takes effect. Introductions made before the change keep the terms that applied when they were made.

12. Ending the program

12.1 Either of us can end these terms at any time by email.

12.2 After the end, we still pay fees for introductions made before the end that become payable under section 4, unless we end the terms because you broke section 7 or section 9, or acted fraudulently.

13. Liability

13.1 Our total liability to you under these terms is limited to the fees payable to you in the 12 months before the claim.

14. Law

14.1 These terms are governed by the laws of Hong Kong, and the courts of Hong Kong have jurisdiction.
